Lander & Rogers has advised Assurant, a Fortune 500 company and a leading global provider of services to protect and service lifestyle devices, homes and automobiles, on its acquisition of the reverse logistics division of TIC Group (now known as RL Circular Operations), supporting Assurant’s continued growth across the Asia-Pacific region. Through this deal, Assurant has acquired the major provider of post-purchase workflow and reverse logistics service provider for retailers, manufacturers, and suppliers in Australia and New Zealand.
The transaction, which completed on 31 December 2025 and was announced publicly in January 2026, followed a highly complex and lengthy transaction arc involving multiple legal and commercial workstreams, and significant deal and post-deal operational and commercial considerations. The firm’s role included advising on four separate but contemporaneous corporate and asset restructures as well as the share sale agreement, the transaction implications of a mid-deal and large-scale physical site relocation for TIC Group, 'clean team' arrangements to support a technology source code review, detailed negotiations with key customers, and a substantial post-completion commercial framework governing transitional and ongoing services between the buyer and seller groups.
The transaction required close coordination across legal, commercial and operational priorities within Assurant, with a strong focus on business continuity through the transaction period for TIC Group while delivering a successful outcome for Assurant.
